Non-Custodial Nature

  • We do NOT hold, control, or have access to your digital assets at any time
  • All funds are held exclusively by smart contracts on public blockchains
  • We cannot freeze, seize, or transfer your assets
  • You maintain full control of your private keys and wallet
  • Smart contracts execute automatically based on predefined conditions

1. Introduction and Acceptance

Welcome to VeriEscrow, a non-custodial escrow platform operated by Elysium Media FZCO, a company registered in Dubai Digital Park, Dubai Silicon Oasis, United Arab Emirates, under License No. 58510 and TRN 104956612600003. VeriEscrow provides only the software and smart contracts that enable secure transactions between parties. At no time do we have access to, control over, or custody of user funds.

By accessing or using our platform, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service. If you do not agree to these terms, you must not use our services.

We reserve the right to modify these terms at any time. Material changes will be notified via email or platform notification at least 30 days before taking effect. Continued use after changes constitutes acceptance.

2. Definitions

"Platform" refers to the VeriEscrow website, smart contracts, and all related services.

"User" means any individual or entity that accesses or uses the Platform.

"Escrow" refers to a smart contract-based arrangement where digital assets are held according to predefined conditions.

"Smart Contract" means self-executing code deployed on supported blockchain networks.

"Digital Assets" includes cryptocurrencies, tokens, and other blockchain-based assets.

"Non-Custodial" means that Elysium Media FZCO never takes possession, custody, or control of Users' digital assets at any time.

3. Service Description

VeriEscrow is a Software-as-a-Service (SaaS) platform that provides access to non-custodial smart contract escrow functionality. Our platform enables secure transactions between parties without the need for intermediaries—trust is guaranteed by the smart contract code itself, which executes automatically on the blockchain.

  • Milestone-based payment structuring
  • Dispute resolution mechanism access
  • Transaction monitoring and notifications

4. Eligibility and Registration

You must be at least 18 years old or the legal age of majority in your jurisdiction to use our services.

You must have the legal capacity to enter into binding contracts.

Prohibited Users

  • Residents or nationals of sanctioned countries (OFAC, EU, UN sanctions lists)
  • Individuals or entities on any government sanctions or watch lists
  • Users who have previously been banned from the Platform
  • Anyone prohibited by applicable law from using cryptocurrency services

We may implement Know Your Customer (KYC) and Anti-Money Laundering (AML) verification procedures as required by applicable regulations. You agree to provide accurate information and documentation when requested.

5. User Obligations and Responsibilities

You are solely responsible for ensuring that your use of the Platform complies with all applicable laws, regulations, and tax obligations in your jurisdiction.

Security Responsibilities

  • Safeguarding your private keys and wallet credentials
  • Using secure devices and internet connections
  • Enabling appropriate security measures (2FA, hardware wallets)
  • Never sharing your credentials with third parties
  • Immediately reporting any suspected unauthorized access

Prohibited Activities

  • Money laundering, terrorist financing, or sanctions evasion
  • Fraud, scams, or deceptive practices
  • Market manipulation or wash trading
  • Circumventing security measures or access controls
  • Using the Platform for illegal goods or services
  • Violating intellectual property rights
  • Transmitting malware or malicious code
  • Attempting to reverse engineer or hack the Platform

6. Fees and Payments

Our fee structure is transparent and published on our pricing page. Protocol fees range from 0.5% to 1% depending on the service tier and volume.

Users are responsible for all blockchain network fees (gas fees) required to execute transactions. These fees are paid directly to network validators and are not collected by VeriEscrow.

We reserve the right to modify our fee structure with 30 days advance notice. Fee changes will not affect escrows already in progress.

Due to the nature of blockchain transactions, fees paid for completed transactions are non-refundable.

7. Smart Contract Risks and Disclaimers

Inherent Risks

  • Smart contracts may contain bugs or vulnerabilities despite auditing
  • Blockchain networks may experience congestion, forks, or failures
  • Oracle services providing external data may fail or provide incorrect data
  • Cryptocurrency values are highly volatile
  • Regulatory changes may affect the availability or legality of services

Our smart contracts undergo independent security audits. However, no audit can guarantee the complete absence of vulnerabilities. Audit reports are available upon request.

Once deployed, smart contract code cannot be modified. While we implement upgradeable patterns where appropriate, certain core functionality is intentionally immutable for security.

8. Dispute Resolution

The Platform provides a decentralized dispute resolution mechanism for escrow-related conflicts. Disputes are handled by qualified arbitrators according to predefined rules.

Arbitrator decisions are final and binding. By using the Platform, you agree to accept arbitration as the primary dispute resolution method for escrow-related matters.

The dispute resolution mechanism addresses only escrow-related disputes. Legal disputes regarding these Terms must be resolved according to Section 15.

9. Intellectual Property

The Platform, including its design, code, trademarks, and content, is owned by Elysium Media FZCO and protected by intellectual property laws.

We grant you a limited, non-exclusive, non-transferable license to use the Platform for its intended purpose.

You may not copy, modify, distribute, sell, or lease any part of our Platform without express written permission.

Certain components of our smart contracts may be released under open-source licenses. Such components are governed by their respective licenses.

10. Privacy and Data Protection

Your use of the Platform is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

Please note that blockchain transactions are publicly visible and permanent. We cannot delete or modify information recorded on public blockchains.

For users in the European Economic Area (EEA), we comply with the General Data Protection Regulation (GDPR). You have rights to access, rectify, and delete your personal data where technically feasible.

11. Limitation of Liability

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ELYSIUM MEDIA FZCO SHALL NOT BE LIABLE FOR:

  • •Any loss of digital assets, profits, or data
  • •Smart contract failures or vulnerabilities
  • •Blockchain network issues or delays
  • •Third-party actions or services
  • •Force majeure events
  • •Regulatory actions affecting your access or assets

In no event shall our total liability exceed the fees you paid to us in the 12 months preceding the claim.

Some jurisdictions do not allow limitation of liability for certain damages. In such cases, our liability is limited to the extent permitted by law.

12. Indemnification

You agree to indemnify, defend, and hold harmless Elysium Media FZCO, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from:

  • •Your use of the Platform
  • •Your violation of these Terms
  • •Your violation of any applicable law or regulation
  • •Your infringement of any third-party rights

13. Termination

You may stop using the Platform at any time. Active escrows will continue to operate according to their smart contract terms.

We may suspend or terminate your access to the Platform for violation of these Terms or applicable law, with or without notice.

Upon termination, your right to use the Platform ceases. However, existing smart contracts will continue to operate on the blockchain independently of your Platform access.

14. Regulatory Compliance

European Union (MiCA)

We are committed to compliance with the Markets in Crypto-Assets (MiCA) regulation. As a non-custodial software provider, we operate as a technology service rather than a crypto-asset service provider under MiCA classification.

United Arab Emirates

We operate under UAE Federal Laws and Dubai regulations, including compliance with VARA (Virtual Assets Regulatory Authority) guidelines where applicable.

United States

We comply with applicable U.S. laws including FinCEN guidance on virtual assets. Our non-custodial model means we do not qualify as a Money Services Business (MSB). Users are responsible for their own tax reporting obligations.

Spain

For Spanish users, we comply with applicable laws including Bank of Spain regulations on virtual asset service providers. Our non-custodial nature exempts us from custodian registration requirements.

15. Governing Law and Jurisdiction

These Terms are governed by the laws of the United Arab Emirates.

Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Dubai, UAE.

Alternatively, disputes may be resolved through binding arbitration administered by the Dubai International Arbitration Centre (DIAC) in accordance with its rules.

You agree to resolve disputes individually and waive any right to participate in class action lawsuits or class-wide arbitration.

16. Miscellaneous Provisions

These Terms, together with the Privacy Policy and Cookie Policy, constitute the entire agreement between you and Elysium Media FZCO regarding the Platform.

If any provision of these Terms is found unenforceable, the remaining provisions shall continue in full force and effect.

Our failure to enforce any provision does not constitute a waiver of that provision or any other provision.

You may not assign your rights under these Terms. We may assign our rights to any affiliate or successor entity.

Notices to you may be sent via email or Platform notification. Notices to us should be sent to [email protected].

Acknowledgment

By using VeriEscrow, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service. You understand that VeriEscrow is a non-custodial platform and that you are solely responsible for your digital assets and transactions.
